1. Definitions

1.1 “Company”, “we”, “us”, “our” refers to Ubitronics, operated by Joe Cullen.
1.2 “Customer”, “you”, “your” refers to any individual or entity purchasing or using our services.
1.3 “Services” means any digital product, CRM access, subscription, consultancy, or related offering provided by the Company.

2. Acceptance of Terms

2.1 By purchasing any Service, creating an account, or making payment, you agree to be bound by these General Conditions of Sale.
2.2 These terms form a legally binding agreement governed by the laws of England and Wales.

3. Eligibility

3.1 Services are available only to individuals aged 18 years or over.
3.2 By using our Services, you confirm that you meet this requirement.

4. Payment Terms (Advance Payment Requirement)

4.1 Payment is required in full and in advance at all times.
4.2 No access to any Service will be granted until full payment has been received and confirmed.
4.3 No meetings, consultations, or scheduled calls will be arranged until payment has been received in full.
4.4 For subscription-based Services:

  • 4.4.1 Payment must be made in advance of each subscription period;
  • 4.4.2 Access will only be granted for the paid period;
  • 4.4.3 Failure to pay will result in immediate suspension or termination of access.

4.5 The Company reserves the right to refuse service where payment has not been received.

5. Pricing and Currency

5.1 All prices are quoted in Pound Sterling (GBP).
5.2 The Company reserves the right to change prices at any time without prior notice.
5.3 Any applicable currency conversion fees, bank charges, or exchange fees are the sole responsibility of the Customer.

6. Payment Methods

6.1 Payment must be made online only via the payment methods provided on the Company website.
6.2 No alternative payment methods (including cash, cheque, bank transfer outside the platform, or offline arrangements) are accepted unless explicitly stated in writing.

7. Delivery of Services

7.1 All Services are delivered remotely and online unless otherwise stated.
7.2 Access to Services will be granted:

  • 7.2.1 Within 48 hours of confirmed payment, or
  • 7.2.2 On the specific date or timeline stated within the offer or Service description.
    7.3 The Company shall not be liable for delays caused by incorrect information provided by the Customer.

8. Subscriptions and Recurring Services

8.1 Subscription Services are billed in advance on a recurring basis (e.g. monthly or annually).
8.2 Continued access to subscription Services is conditional upon ongoing advance payment.
8.3 The Company reserves the right to:

  • 8.3.1 Modify or withdraw subscription offers;
  • 8.3.2 Adjust pricing at renewal periods.

9. Data Protection and Third-Party Processing

9.1 The Company does not store or control all Customer data directly; data may be held and processed by third-party platforms.
9.2 By creating an account or making a payment, you consent to third-party data processing where required to deliver the Services.
9.3 All data processing is conducted in accordance with:

  • The UK GDPR, and
  • The Data Protection Act 2018.

9.4 The Customer acknowledges and accepts that third-party providers may have their own data policies.

10. Limitation of Liability

10.1 The Company provides Services on an “as is” basis.
10.2 To the maximum extent permitted by law, the Company shall not be liable for:

  • Indirect or consequential losses;
  • Loss of business, revenue, or data;
  • Service interruptions outside its reasonable control.

11. Termination

11.1 The Company reserves the right to suspend or terminate access to Services where:

  • Payment is not made;
  • These terms are breached;
  • Misuse of Services is identified.

11.2 No refunds will be provided unless otherwise required by law.

12. Amendments

12.1 The Company may update these General Conditions of Sale at any time.
12.2 Continued use of the Services constitutes acceptance of any updated terms.

13. Governing Law

13.1 These terms shall be governed by and interpreted in accordance with the laws of England and Wales.
13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Entire Agreement

14.1 These terms constitute the entire agreement between the Company and the Customer and override any prior agreements or understandings.
